These Terms of Service, published by PrivacyPal (the "Supplier") govern the use of and access to our Services by you (the "Customer") and together with any Order Form shall hereafter be referred to as the "Agreement". Each of the Customer and the Supplier shall be a "Party" and together the "Parties".
By purchasing, accessing, or using the Services, the Customer acknowledges that Customer has read and understood the terms of the Agreement and agrees to be bound by its terms and conditions. The following terms and conditions shall govern the provision and use of the Services. The Services are intended for business use only.
"Services" means the PrivacyPal software, platform, and related services provided by PrivacyPal.
"Customer Data" means any commercial or proprietary data which is uploaded or otherwise submitted to the Services directly by the Customer, its Authorized Users, or by the Supplier on the Customer's behalf.
"Authorized Users" means those employees and independent contractors of the Customer who are authorized by the Customer to use the Services under this Agreement.
PrivacyPal shall provide the Services to the Customer in accordance with the terms of this Agreement. The Customer shall be responsible for ensuring that all Authorized Users comply with the terms of this Agreement.

The Customer shall pay the fees as set forth in the applicable Order Form or pricing page. All fees are non-refundable except as required by law or as otherwise specified in this Agreement.
All intellectual property rights in the Services remain the property of PrivacyPal. The Customer retains all rights in Customer Data. PrivacyPal may use aggregated and anonymized data derived from Customer Data for improving the Services.
PrivacyPal shall process Customer Data in accordance with its Privacy Policy and applicable data protection laws. The Customer is responsible for ensuring that it has the necessary rights and consents to provide Customer Data to PrivacyPal.
Each Party shall keep confidential all confidential information received from the other Party and shall not disclose such information to any third party without the prior written consent of the disclosing Party, except as required by law.
PrivacyPal warrants that the Services will perform substantially in accordance with the documentation. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIVACYPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.
This Agreement shall commence on the Effective Date and continue for the Initial Term as specified in the Order Form. Either Party may terminate this Agreement for material breach if the other Party fails to cure such breach within 30 days of written notice.
This Agreement constitutes the entire agreement between the Parties. No modification of this Agreement shall be effective unless in writing and signed by both Parties. This Agreement shall be governed by and construed in accordance with the laws of the United States.
